Terms of Service

1Introduction and Acceptance

These Terms create a binding agreement between users and Engainsmedia. By accessing or using the platform, you acknowledge accepting these Terms. If you do not agree with any part, you must immediately stop using the platform and close your account. Continued use after we modify these Terms signals acceptance of the updates.

2Definitions

• Services: Social media marketing offerings including followers, likes, views, comments, and engagement across supported platforms.
• Order: Service requests placed through the platform.
• Wallet: Internal account balance funding orders.
• Reseller / Child Panel Operator: Users utilizing API or reseller functionality for customer services.
• Points: Loyalty rewards earned from eligible spending.
• Third-Party Platforms: External social media sites (Instagram, TikTok, YouTube, Facebook, Twitter / X).
• API: Application programming interface for programmatic service access.

3Eligibility

Users must be at least 13 years old. Users aged 13–18 require parental consent. We reserve the right to request age verification or parental documentation. Users must possess the legal capacity to enter binding agreements in their jurisdiction.

4Account Registration and Security

Users must provide accurate information and maintain credential confidentiality. Account sharing, transferring, selling, or lending is prohibited. Users bear full responsibility for all account activity, and unauthorized access must be reported immediately.

Engainsmedia is not liable for any loss or damage arising from your failure to protect your account credentials.

Creating multiple accounts under one entity is prohibited and may result in termination.

5Description of Services

Services are provided "as-is" and "as-available" without guarantees regarding delivery speed, retention, account quality, or result persistence. Engainsmedia neither owns nor controls third-party platforms. Service descriptions and delivery times are approximations only — not binding commitments.

You are solely responsible for reading and understanding the full service description before placing an Order.

Refill and No-Refill Services

Refill services include restoration guarantees for stated periods if delivered metrics drop. No-refill services lack guarantees and carry higher drop risk at lower prices.

Drops and Count Reductions

Drops occur when third-party platforms detect and remove accounts via moderation or spam filters. Engainsmedia does not remove delivered content; all drops result from third-party actions outside our control.

6Orders

Placing an order authorizes wallet deduction and service initiation. Orders become final once placed and wallet-debited. Engainsmedia makes commercially reasonable efforts to fulfill orders but provides no completion guarantees.

You must ensure the correct, public, and accessible target. We bear no responsibility for orders with incorrect or inaccessible information. Claims of ignorance about service descriptions do not entitle a refund.

7Refund Policy

Cancelled pre-delivery orders receive a full wallet refund. Partially completed orders receive proportional refunds for the undelivered portion only. Refunds are issued exclusively to wallet balances — never via external methods.

Refunds are NOT available for:

• Incorrect or inaccessible account information
• Private or suspended accounts that restrict delivery
• Post-delivery drops from third-party actions
• No-refill service drops regardless of magnitude
• Risks stated in service descriptions
• Fully delivered orders as described
• Accounts suspended for terms violations
• Failure to read service descriptions
• Failed identity verification with forfeited payment-provider funds

Refund eligibility is determined at the sole discretion of Engainsmedia.

8Payments and Wallet

Users fund wallets through approved payment methods. All payments are final upon completion — no withdrawals or external transfers exist. Balances are non-transferable and non-interest-bearing service credits.

Terminated accounts forfeit remaining balances. Chargebacks result in immediate suspension and potential recovery action. We reverse credits from fraudulent transactions immediately.

Identity Verification (KYC)

Engainsmedia and our payment providers may require identity verification through government IDs, proof of address, source of funds documentation, selfies, or bank statements. You must respond promptly with accurate, unaltered documentation.

Submission of forged, edited, or fraudulent documents is a material breach of these Terms and grounds for immediate account termination.

Funds Held by Payment Providers

Payment providers may hold funds pending verification or compliance checks. Engainsmedia bears no responsibility for provider-held funds — you must resolve such issues directly with the provider. Non-compliance can lead to account suspension, refusal to credit payments, termination, and forfeiture of balances and commissions.

9Points and Rewards Program

Engainsmedia may offer a points-based loyalty rewards program. Points have no cash value, are non-transferable, and cannot be sold or withdrawn. Minimum redemption thresholds apply for converting points into wallet credit.

We may modify, suspend, or terminate the program at any time without notice. Unredeemed points are forfeited upon termination. Abuse of the points program may result in forfeiture and potential account termination.

10Affiliate Program

We offer referral commission opportunities. Affiliate structures and terms are established by Engainsmedia and subject to modification. Self-referrals and fraudulent activity are prohibited.

We audit affiliate activity and reverse fraudulently earned commissions. Affiliates are responsible for compliance with jurisdiction-specific advertising and disclosure laws.

11Reseller and Child Panel Terms

Resellers accessing the API or operating child panels bear complete and sole responsibility for all interactions, disputes, complaints, refund requests, and obligations to their own customers and end users.

Resellers cannot represent themselves as employees, agents, or partners of Engainsmedia. They must establish independent customer terms, refund policies, and support systems. Brand misrepresentation or use of our trademarks without consent is prohibited.

Engainsmedia may limit, throttle, or terminate API access at any time. Resellers manage their own pricing and customer expectations despite potential service-availability changes. Direct competition with our platform is prohibited.

12API Usage

API access is a privilege, not a right, and may be revoked at any time. API keys are confidential and the user's responsibility. All activity through your key is your responsibility regardless of who initiated it.

Key sharing or distribution to unauthorized parties is prohibited. We may impose rate limits, usage caps, and access restrictions. Automated usage follows the same Terms as manual usage. Engainsmedia bears no liability for API downtime, errors, or structural changes.

13Prohibited Uses

You may not use the platform for unlawful, harmful, or prohibited purposes, including:

• Promoting or facilitating illegal content
• Harassment, bullying, defamation, or threats
• Unauthorized system access attempts
• Using bots, scrapers, or unauthorized automated tools
• Exploiting bugs or vulnerabilities
• Disrupting platform operations
• Circumventing security measures
• Money laundering or fraud facilitation
• Redistributing services in violation of these Terms
• Reverse engineering or decompiling our platform

Engainsmedia determines prohibited uses at sole discretion.

14Intellectual Property

All platform content, design, code, branding, logos, and trademarks are the property of Engainsmedia or its licensors and legally protected. Users receive a limited, non-exclusive, non-transferable, revocable license to use the platform.

Copying, reproducing, modifying, distributing, selling, licensing, or creating derivative works requires our written consent. The "Engainsmedia" brand is the exclusive property of Engainsmedia.

15Third-Party Platforms

Our services involve interactions with third-party platforms that we do not control. You assume the complete risk of enforcement consequences including suspensions, bans, content removal, or engagement loss.

You acknowledge that the use of social media marketing services may violate the terms of service of certain Third-Party Platforms.

Engainsmedia makes no compliance representations and bears no liability for policy changes, algorithm modifications, API updates, or enforcement mechanism alterations.

16Disclaimer of Warranties

Services and platforms are provided "as-is" and "as-available" without any warranties. We disclaim all express and implied warranties including merchantability, fitness for a particular purpose, and non-infringement. We disclaim guarantees of accuracy, reliability, completeness, and timeliness.

Warranties of uninterrupted, error-free, secure, or virus-free operation are disclaimed. Warranties about retention, persistence, and result quality are absent. No oral or written advice creates any warranty not stated here.

17Limitation of Liability

Engainsmedia and its directors, officers, employees, agents, and affiliates bear no liability for indirect, incidental, special, consequential, or punitive damages — including loss of profits, reputation, data, opportunities, or substitute service costs.

Total aggregate liability cannot exceed amounts paid by you to Engainsmedia in the three (3) months preceding the claim. These limitations apply regardless of legal theory (contract, tort, negligence, strict liability).

18Indemnification

You agree to indemnify Engainsmedia and its directors, officers, employees, agents, and affiliates against claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising from:

• Your use of the platform or services
• Violations of these Terms
• Violations of any law or regulation
• Violations of third-party rights
• Disputes with third-party platforms
• Disputes with your customers or end-users (resellers)
• Any content, data, or information you submit

19Account Suspension and Termination

Engainsmedia may suspend, restrict, or terminate accounts at any time, with or without notice, for any reason — including terms violations, fraudulent activity, chargebacks, prohibited uses, or reputation harm.

Termination for violations results in immediate forfeiture of wallet balance, points, and commissions. No advance notice, warning, or explanation is obligatory. Sections 7, 14, 16, 17, 18, 20, and 21 survive account termination.

20Privacy and Data

We collect personal information including names, emails, phone numbers, IP addresses, device information, transaction history, and usage data. By using the platform, you consent to this collection.

We do not sell your personal information to third parties but may share data with service providers and payment processors. We apply commercially reasonable security measures, though absolute security cannot be guaranteed. Cookies and analytics tools may be used to improve the platform.

Account deletion requests are honored, subject to our right to retain data required by law or for legitimate business necessity.

21Dispute Resolution

Users must first attempt a thirty (30) day informal resolution. Unsuccessful disputes proceed through binding arbitration under the Nigerian Arbitration and Conciliation Act, with Lagos, Nigeria as the seat.

A single arbitrator is mutually agreed upon or appointed per the Act. Class actions, consolidation, and representative actions are waived. Injunctive relief may be sought in the Federal High Court of Nigeria. The prevailing party recovers reasonable legal fees and costs.

22Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Non-arbitrated legal actions occur exclusively in Nigerian courts, and users consent to personal jurisdiction.

23Modifications to Terms

Engainsmedia may modify these Terms at any time, effective immediately upon posting. Users are responsible for periodic review. Continued use signals acceptance of revisions. Disagreement requires immediate cessation of platform use.

24General Provisions

Any provision deemed invalid or unenforceable is severed, with the remaining provisions continuing in force. These Terms plus our published policies constitute the entire agreement. Non-enforcement of any right does not waive that right.

Engainsmedia may assign or transfer these Terms without restriction; users cannot without our consent. Force majeure events (natural disasters, cyberattacks, telecommunications failures) exempt us from performance liability. No agency, partnership, joint venture, or employment relationship is created.
